1. Introduction

Welcome to Schedjuice web services. These Terms of Service ("Terms") govern your use of our website and services offered by Schedjuice web services ("we," "our," or "us"). By accessing or using our website and services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our website or use our services.

2. Services

Schedjuice web services provides web development, design, and related digital services to clients. Our services include but are not limited to website development, web application development, UI/UX design, e-commerce solutions, and digital consulting.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice or liability.

3. Client Responsibilities

When engaging our services, clients agree to:

  • Provide accurate and complete information necessary for the completion of the project
  • Review and provide feedback on deliverables in a timely manner
  • Make payments according to the agreed-upon schedule
  • Obtain all necessary permissions and rights for materials provided to us for use in the project
  • Comply with all applicable laws and regulations

4. Intellectual Property

4.1 Our Intellectual Property

The content on our website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Schedjuice web services or its content suppliers and is protected by international copyright laws.

4.2 Client Materials

Clients retain ownership of all materials they provide to us for use in their projects. By providing these materials, clients grant us a non-exclusive license to use, reproduce, and modify these materials solely for the purpose of providing our services.

4.3 Project Deliverables

Upon full payment of all invoices, clients will receive ownership of the final deliverables created specifically for their project, except for:

  • Third-party materials incorporated into the deliverables
  • Our proprietary tools, processes, and code libraries
  • Any materials created by us before the project began

We reserve the right to display and link to completed client projects as part of our portfolio unless explicitly agreed otherwise in writing.

5. Payment Terms

Payment terms will be specified in the project proposal or contract. Unless otherwise stated:

  • A non-refundable deposit may be required before work begins
  • Invoices are due upon receipt
  • Late payments may incur additional fees
  • We reserve the right to suspend work on projects with outstanding payments

6. Limitation of Liability

To the maximum extent permitted by law, Schedjuice web services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our services

7. Indemnification

You agree to defend, indemnify, and hold harmless Schedjuice web services and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to our services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your content caused damage to a third party

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Myanmar, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our services.
